ASEとアナログ・デバイセズ、戦略的協業を発表

ASEは、グローバル・サプライ・チェーンのレジリエンス強化と製造の多様性向上のため、ADIのマレーシア・ペナン工場を買収する計画です。
ADIとASEは、共同投資と長期供給契約を通じて協力関係を強化します。

ASE Technology Holding Co.（ASE. NYSE: ASX、TAIEX: 3711）とアナログ・デバイセズ（NASDAQ: ADI）は、マレーシアのペナン州における戦略的な共同の取組みについて、拘束力のある覚書（MoU）を交わしたことを本日発表しました。

最終取引文書の締結を条件として、ASEはAnalog Devices Sdn. Bhd.の株式100％を取得し、それにより同社のペナンの製造施設を取得する意向です。加えて、ADIとASEは、ASEがADIに対して製造サービスを提供する長期供給契約を締結する意向です。ADIはASEと共同で投資し、ペナン工場のスキル向上を図ることを計画しています。

ADIのペナン工場は1994年に設立され、バヤン・レパスの主要な工業地帯に位置し、その延べ床面積は68万平方フィート（約6万3千平方メートル）を超えています。ADIのペナン工場の買収案の完了に伴い、ASEのICのパッケージングおよびテスト事業におけるグローバル・ネットワークはさらに拡大し、さらなる投資機会が生まれることに加え、ますます複雑化するお客様とサプライ・チェーンの要求への対応を支援することになります。

両社は、2025年第4四半期に最終契約を締結する予定であり、本取引は、最終取引文書で合意された慣例的な前提条件の充足または免除ならびに適用される規制当局の承認を条件として、2026年上半期に完了する見込みです。売却完了後、ASEはペナンでの事業を引き継ぎ、ADIおよびその他の顧客を支援するため、当該拠点をさらに発展させます。
