- Acceptance
- These Terms of Use (“Terms”) govern your access to and use of the www.analog.com website (the “Website”), including all associated subdomains, content, features, and services, which are owned and operated by Analog Devices, Inc., a Massachusetts corporation with headquarters at One Analog Way, Wilmington, Massachusetts 01887, USA (“ADI,” “we,” “us,” or “our”). By accessing or using the Website, you (“User” or “you”) agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease all use of the Website. ADI may update or modify these Terms at any time. Continued use of the Website after any such changes constitutes your acceptance of the revised Terms. The Website is intended for use by individuals who are at least eighteen (18) years of age. By using the Website, you represent and warrant that you are at least eighteen (18) years old and have the legal capacity to enter into a binding agreement. If you are accessing the Website on behalf of an entity, you represent and warrant that you have the authority to bind such entity to these Terms.
- Intellectual Property Rights
- All text, graphics, images, software, tools, documentation, data, AI Tools, and other materials available on or through the Website (“Content”) is protected by copyright, trademark, patent, and other intellectual property laws. All rights, title, and interest in and to the Website and its Content are owned by ADI or its licensors. All trademarks, service marks, and logos displayed on the Website are the property of ADI or their respective owners. Use of such marks without prior written consent is strictly prohibited.
- Subject to these Terms, ADI grants you a limited, revocable, non-transferable, non-exclusive license to access and use the Website and its Content solely for your internal business and informational purposes. This license does not include the right to collect, aggregate, copy, duplicate, display, or create derivative works from the Website or its Content except as expressly authorized in these Terms.
- You agree that you will not, and will not permit any third party to: (a) copy, reproduce, modify, distribute, or publicly display any Content except as expressly permitted; (b) scrape, data mine, or use automated means to access or extract data from the Website; (c) reverse engineer, decompile, or disassemble any software or tools; (d) use the Website or Content in connection with nuclear, military, weapons of mass destruction, high-risk, or safety-critical applications without ADI’s express written consent; (e) introduce malware, viruses, or other harmful code; (f) circumvent or attempt to circumvent security features or access controls; (g) harass, abuse, or harm others, or use the Website for any unlawful or prohibited purpose; or (h) export or re-export any Content or technology in violation of applicable export control laws.
- Software
- In the event of any conflict between these Terms of Use and licensing terms that accompany or are presented in connection with software made available for download on the Website, such software license agreement shall control with respect to that software.
- User Accounts
- Certain Website features may require you to register for a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify ADI immediately of any unauthorized use of your account. ADI reserves the right to suspend or terminate your account at any time for any reason, including violation of these Terms.
- User-Generated Material
- You are solely responsible for any content submitted, posted, or transmitted by you via the Website, including but not limited to feedback, comments, or other material (“User-Generated Material”). You agree and warrant that you will not submit any User-Generated Material that (a) contains confidential, proprietary, or trade secret information belonging to you or any third party; (b) contains personal data or personally identifiable information of any third party without such third party’s express consent or other lawful basis, and that any such use complies with ADI’s Privacy Policy; (c) is unlawful, defamatory, obscene, threatening, harassing, or otherwise harmful, including, without limitation, content that incites violence, constitutes hate speech, or violates applicable laws or regulations; or (d) infringes on or violates the intellectual property rights or other rights of any third party.
- ADI reserves the right to remove any User-Generated Material at its sole discretion.
- ADI and its service providers may use User-Generated Material to provide, maintain, and improve the Website and to develop other products and services. ADI shall have no obligation of confidentiality with respect to any User-Generated Material.
- AI Tools
- "AI Tools” means any artificial intelligence-powered features and tools, including but not limited to chatbots, virtual assistants, or automated content generation tools made available on the Website. When you interact with AI Tools, you acknowledge that the responses, output, and content generated by the AI Tools (“Output”) are generated by artificial intelligence and not by a human. Output is provided solely for your informational use and does not convey any ownership, intellectual property, or other proprietary rights to you. Output may be inaccurate, incomplete, or misleading. Do not rely on Output for legal, financial, medical, safety-critical, or other critical decisions. Always verify Output independently.
- Output may be similar or identical to outputs generated for other users, and nothing in these Terms grants you any exclusive right in or to any Output. ADI retains all rights, title, and interest in and to the AI Tools and any underlying technology, models, and algorithms.
- User shall not provide personal, confidential, or sensitive data to AI Tools.
- AI Tools may utilize third-party models or services, and your use of the AI Tools is also subject to the terms and policies of those providers. ADI disclaims liability for the acts or omissions of such third parties.
- Disclaimers of Warranties and Limitation of Liability
- THE WEBSITE, CONTENT, AND ALL FEATURES (INCLUDING AI TOOLS) ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. ADI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND AVAILABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, ADI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE WEBSITE OR CONTENT; (B) ANY ERRORS OR OMISSIONS IN THE WEBSITE OR CONTENT; OR (C) ANY INTERACTIONS WITH AI TOOLS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ADI AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
- Indemnification
- You agree to indemnify, defend, and hold harmless ADI, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your use of the Website or Content, your User-Generated Material, or your violation of any law or third-party rights.
- Export Control and Trade Compliance
- The Website, Content, and any software or technology provided are subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce, the International Traffic in Arms Regulations (ITAR) administered by the U.S. Department of State, and U.S. economic sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC).
- You represent, warrant, and certify that you are not located in, subject to the control of, or a national or resident of any country, territory, or region subject to U.S. embargoes or comprehensive sanctions, and that you are not a person or entity listed on any U.S. government restricted party list for which exports or access are prohibited under applicable U.S. law.
- You agree that you will not access, use, export, re-export, transfer, or otherwise disclose any Content or related technology except in full compliance with all applicable U.S. export control and sanctions laws, regulations, and orders, as well as applicable international laws. You further agree not to permit any third party to do so on your behalf in violation of such laws.
- The Website and Content may not be used, directly or indirectly, in connection with nuclear proliferation activities, chemical and biological weapons, or missiles or unmanned vehicles capable of a range of at least 300 kilometers, unless expressly authorized in advance in writing by ADI and permitted under applicable export control laws.
- Third-Party Links and Content
- The Website may contain links to third-party websites or resources. ADI does not endorse and is not responsible for the content, products, or services on or available from those websites or resources. Your use of third-party websites is at your own risk and subject to their terms and policies.
- If you believe that any content on this Website infringes your copyright, please notify us at copyrights@analog.com with a description of the copyrighted work, identification of the infringing material and its location on the Website, your contact information, and the statements required under the Digital Millennium Copyright Act. Upon receipt of valid notice, we will respond expeditiously to remove or disable access to the allegedly infringing material.
- Termination and Suspension
- ADI reserves the right to terminate or suspend your access to the Website, your account, or any feature at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, all rights granted to you under these Terms will immediately cease.
- Governing Law and Dispute Resolution
- These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Massachusetts for the resolution of any disputes arising out of or relating to these Terms or your use of the Website. You agree to waive any right to a jury trial in connection with any action or litigation arising out of or related to these Terms.
- Severability, Waiver, and Entire Agreement
- If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of ADI to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and ADI regarding your use of the Website and supersede all prior agreements or understandings.
